Ultimate Body Success Affiliate Agreement Please read the following agreement before becoming an Affiliate for Ultimate Body Success as this agreement describes the entire terms and conditions for participation in the Ultimate Body Success Affiliate Program. While it may be tempting to skip through this section it is vitally important to read through each part carefully as ANY ABUSE or MISCONDUCT OF THE AGREEMENT will NOT BE TOLERATED and may result in a UBS (Ultimate Body Success) affiliate Clickbank account being closed and commissions forfeited. Legal Definitions In this agreement, the term affiliate refers to “you” the applicant. Any reference in the agreement to “you” or “your” means the affiliate. In the agreement any reference of “we”, “our” or “us” refers to the product owner and publisher - Ultimate Body Success / UBS/ and or www.ultimatebodysuccess.com Unsolicited Bulk Commercial Email or SPAM UBS does not EVER support or participates in mass unsolicited emailing ie: spamming. Therefore we strictly prohibit UBS affiliates from using spam e-mail and other forms of Internet abuse (including forum, chat and blog spam) to promote and sell UBS products. Spamming also covers email that is not requested by the recipient nor where the recipient has no existing personal or business relationship to the sender. It also includes messages posted to unrelated groups or forums. If a forum owner complains of an affiliate spamming, the affiliate account risks termination once the circumstances have been investigated. Note: With or without prior notice UBS in conjunction with Clickbank.com, at their sole discretion may terminate an affiliate’s account upon receipt and confirmation of a credible complaint. Termination may result in the immediate close of the click bank account, loss of all referrals and the forfeiture of any unpaid money. It may also lead to termination from ANY other clickbank affiliate programs. If you wish to report a violation of our Anti-Spam Policy, please forward all relevant evidence to our customer service department: support@ultimatebodysuccess.com Clickbank The UBS affiliate program is administered through a 3rd party affiliate management company called Click Bank (www.clickbank.com). You must be a Click Bank affiliate in order to be an affiliate for UBS and to receive commission earned from the sale of our UBS Program (which is administered through Clickbank). UBS affiliate program is governed by all rules, regulations, terms and conditions dictated by Clickbank’s client contract. Please make sure that you are familiar with the terms and conditions of Click Bank affiliate program. Affiliate Sign Up To become an affiliate with UBS you must create an affiliate account by completing and submitting the Clickbank affiliate sign up form located at: http://secure.clickbank.net/signup.cgi?hop=ubsuccess.clickbank When signing up you will be asked to choose a click bank account name (also called a Clickbank affiliate nickname) consisting of 5-10 letters and digits. Once processed your clickbank nickname name will create a hoplink/url which affiliates will use to identify themselves. When a prospective customer clicks an affiliate’s hoplink the destination website will be www.ultimatebodysuccess.com. Note you do not have to have a website to be an affiliate as you can use your clickbank hoplink/url to promote UBS. Commissions Affiliates for UBS will receive 51% of the revenue as a commission from orders placed through your qualified, correctly structured unique affiliate URL link, less any charges outlined by Clickbank in their agreement http://www.clickbank.com/paychecks.html.ed. Commission will only be paid on sales that are made when a customer completes the order form, makes full payment for the product ordered through Clickbank’s secure ordering system. Word of Mouth referrals will not result affiliate commission. Commission may change at the discretion of the product publisher, for special promotion purposes but they will return thereafter to 51%. Notification will be made to affiliates via the affiliate section of www.ultimatebodysuccess.com Payment ClickBank will send a check for the applicable commissions within the framework of their payment policies: www.clickbank.com/paychecks.html. If any order that generated an affiliate commission is returned by the customer, or if there are any returned checks or charge backs, the amount will be deducted by ClickBank from the next payment due to the affiliate. Order Fulfillment www.ultimatebodysuccess.com (via Clickbank) will be solely responsible for processing every E-book order placed by a customer on the affiliate site. Affiliates are not authorized to collect payments or sell any of www.ultimatebodysuccess.com products from other websites as a “reseller” and no “resale” rights are granted in ANY WAY on this product unless otherwise noted. Affiliates are not authorized to give away copies of any of these products. All affiliates understand and acknowledge that no physical products will be shipped. www.ultimatebodysucess.com is a PDF – format e-book, only available through download. Customers Customers who purchase products and services will be deemed to be customers of www.ultimatebodysuccess.com. Accordingly, www.ultimatebodysuccess.com rules, policies and operating procedures concerning customer orders and service will apply to those customers. We may change our policies and operating procedures any time. Prices and availability of our products and services may vary from time to time. www.ultimatebodysuccess.com polices will always determine the price paid by the customer. Relationship of Parties Affiliates are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. Affiliates have no authority to make or accept any offers or representations on our behalf. Affiliates will not make any statement, whether on their sites or otherwise, that reasonable would contradict this statement. Limitation of Liability www.ultimatebodysystem.com will not be liable for indirect, special or consequential damages (or any loss of revenue, profits, expenditures or data) arising in connection with this Agreement or the Program, even if we have been advised of the possibility of such damages. Further, our aggregate liability arising with respect to this agreement and the program will not exceed the total commission paid or payable to the affiliate under to this Agreement. Disclaimers We make no express or implied warranties or representations with respect to the Affiliate Program or an affiliates earning potential to earn income from the Affiliate Program. In addition, we make no representation that the operation of www.ultimatebodysystem.com or the affiliate links will be uninterrupted or error-free, www.ultimatebodysystem.com will not be liable for the consequences of any interruptions or errors. Disputes Any disputes between the parties to this agreement which involves interpretations of the terms of the agreement shall be submitted to arbitration under the rules of South Australian Arbitration Act and the finding arbitrator shall be binding on all parties. You may not assign this Agreement, by operation of law or otherwise, without our prior written consent. Subject to that restriction, this Agreement will be binding on, inure to the benefit of, and enforceable against the parties and their respective successors and assigns. The failure of www.ultimatebodysystem.com to enforce your strict performance of any provision of this agreement will not constitute a waiver of our right to subsequently enforce such provision or any other provision of this Agreement. If any of the provisions of this Agreement are determined by a court to be unenforceable, they shall be severed from this Agreement and the remaining provisions shall remain in full force and effect. By signing with Clickbank, you acknowledge that you have read this agreement and agree to all its terms and conditions. You have independently evaluated this program and are not to relying on any representation, guarantee or statement other than as set forth in this agreement. Affiliate Program Earnings Disclaimer Any earnings or income statements or earnings or income examples mentioned in this website or in emails sent on behalf of www.ultimatebodysystem.com, are only estimates of what we think you could earn. Any claims or representations as to the income earnings of affiliates from this website are not to be considered as average earnings. There can be no assurance as to the income earnings affiliates can achieve as monetary and income results are based on many factors.
